Transparency
SAES, as a state-owned mercantile company that is part of the public business sector of the State, follows in this matter the criteria established by the Ministry of Finance and Public Administrations to which it is attached through the mercantile company, also public, SAES CAPITAL, S.A., SM.E.,a company controlled in turn by NAVANTIA, S.A., S.M.E. and by the Sociedad Estatal de Participaciones Industriales (SEPI), in whose Group all of them are integrated.
The information in this transparency portal has been revised and unchanged since September 2023.
The Law 19/2013, of 9 December, on Transparency, Access to Public Information and Good Governance, gives the citizens the right to access public information in those domains that are not covered by the part of active publicity in this portal.
Through this page SAES makes this right available, within the limits foreseen in the Law.
The procedure to exercise the right of access will begin with the presentation of the corresponding request to SAES, by means of one of the following channels:

All requests submitted by post must be accompanied by the applicant’s original signature. Likewise, requests presented by email must be accompanied by a recognised electronic signature, according to the provisions of Law 59/2003, of 19 December, on electronic signatures.
Similarly, all requests, both those presented by post as well as those presented by email, must include the name, surname and photocopy of the applicant’s ID card or passport, the information requested and the email or postal address chosen to receive the reply and, if applicable, the preferred method for accessing the information requested.
The SAES Compliance Committee, the competent body to hear requests for the right of access, shall resolve on the admissibility, non-admissibility, total or partial rejection of the requests for access within a maximum period of one month from receiving the request.
This period may be extended by another month in the event that the volume or complexity of the information requested makes it necessary and after notifying the applicant.
On the other hand, as SAES is a Spanish state company integrated within the group of the Sociedad Estatal de Participaciones Industriales (SEPI), citizens may exercise the right of access through https://transparencia.gob.es/, and in the terms established by Law 39/2015, of 1 October, of the Common Administrative Procedures of the Public Administrations.
SAES, as a state trading company and part of the Spanish state public sector, is subject to the external control of the Court of Auditors and to the internal control of the economic and financial management of the state public sector carried out by the General Intervention of the State Administration (IGAE).
SOCIEDAD ANÓNIMA DE ELECTRÓNICA SUBMARINA, S.M.E. is a company majority-owned by SAES CAPITAL, S.A., S.M.E., which is in turn controlled by Navantia, S.A., S.M.E. and, through the latter, forms part of the SEPI group, which presents its operating and capital budgets on a consolidated basis with the other entities that comprise it.
SOCIEDAD ANÓNIMA DE ELECTRÓNICA SUBMARINA, S.M.E is a leading company specialised in the underwater electronics and acoustics sector and does not award grants and/or public aid.
In 2024 there are two compatibility authorisation resolutions affecting employees. In addition, no authorisation has been granted for private activity following the cessation of senior officials in the General State Administration or equivalent positions in the Autonomous Communities or Local Entities.

SOCIEDAD ANÓNIMA DE ELECTRÓNICA SUBMARINA, S.M.E. (SAES), as a State Trading Company, is governed by the provisions of the Public Sector Legal Regime (Law 40/2015, of 1 October), by the provisions of the Public Administration Heritage Law (Law 33/2003, of 3 November) and by the private legal system, specifically by Royal Legislative Decree 1/2010, of 2 July, approving the Amended Text of the Capital Companies Law (henceforth LSC), except in those matters to which the budgetary, accounting, personnel, economic-financial control and contracting regulations apply.
For that reason, SAES is likewise subject to the Organic Law of the Court of Audit (Organic Law 2/1982, of 12 May), to the General Budgetary Law (Law 47/2003, of 26 November), by virtue of which the Company elaborates estimated budgets, integrating their budget into that of the Navantia Group, which, in turn, is included within the consolidated budget of the Spanish state-owned industrial holding company [Sociedad Estatal de Participaciones Industriales] (SEPI), as well as being obliged to apply the accounting principles and rules set out in the Code of Commerce and the General Accounting Plan. Regarding the control and audit regime, the company is subject to economic-financial management by the General Intervention of the State Administration (IGAE).
Additionally, the Public Sector Contracts Law (Law 9/2017, of 8 November, by which the Directives of the European Parliament and of the Council 2014/23/EU and 2014/24/EU, of 26 February 2014 were transposed into Spanish law) is applicable to SAES – which has no adjudicatory power – and, to that effect and in accordance with Article 321 and concordant provisions of the aforementioned Public Sector Contracts Law, SAES has approved Internal Procurement Instructions in order that the awarding procedures in which SAES is the contracting entity, comply with the principles of publicity, competition, transparency, confidentiality, equality and non-discrimination, as well as so that contracts are adjudicated to those who present the best tender.
Finally, SAES is also subject to the Transparency, Access to Public Information and Good Governance Law (Law 19/2013, of 9 December) and, due to its activity in the development of military naval programmes, its strategic nature and its service to national security, the Official Secrets Law (Law 9/1968, of 5 April) is also applicable.
The Company modified, adapted and approved its Articles of Association by Board of Directors resolution on 29 June 2015.
